On Wednesday, February 10, the State Duma of the Russian Federation adopted the Federal Law "On Amendments to the Federal Law" On International Companies and International Funds "and on the suspension of certain provisions of the Federal Law" On Joint Stock Companies "and the Federal Law" On Limited Liability Companies ".
The law, first of all, provides for the expansion of the geography of countries where redomiciliation to special administrative regions in Kaliningrad region and Primorsky Krai is possible. Thus, members of the EAG, ATG, ESAAMLG, GAFILAT, MENAFATF, CFATF, GIABA, GABAK groups (previously only FATF and Moneyvel) have been added to the list of states and territories. Such changes will allow companies from more popular foreign jurisdictions such as Belize and the British Virgin Islands, for example, to re-register in the SAR.
In addition, the Law regulates the issues of "transit" re-domiciliation, which allows a foreign company, which has already undergone the procedure of a change of jurisdiction, to be re-domiciled in the SAR. The law addresses the issues of reorganization of international companies, clarifies the requirements for conducting business activities of a company prior to re-registration, and also resolves a number of technical issues that arise when organizing the work of international companies with documents.
